Welcome to mindfullearningco.com (the "Site"), operated by Mindful Learning Co. ("Mindful Learning Co.," "we," "us," or "our"). These Terms & Conditions ("Terms") govern your access to and use of the Site and your inquiry into our services. Please read them carefully. By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. About Our Services
Mindful Learning Co. provides subject tutoring, academic coaching, test preparation, small-group tutoring, and parent/guardian support to students of all ages. We offer in-person services within the greater Los Angeles area and remote services to students in other states. The Site provides general information about these services and a way to inquire and schedule an introductory call.
The Site itself is informational. Tutoring and coaching services are provided only under a separate **Client Services Agreement** between Mindful Learning Co. and the client. If anything in these Terms conflicts with a signed Client Services Agreement regarding paid services, the Client Services Agreement controls for those services. Pricing shown on the Site is current as of posting and may change; the rate that applies to a given engagement is the rate confirmed with the client.
2. Nature of Coaching Services
Our academic coaching may incorporate research-backed psychological and educational techniques used solely in an educational, skill-building context to help students develop positive academic habits, self-regulation, resilience, and organizational skills. **Our services are not mental health services, psychotherapy, or psychological counseling, and are not a substitute for professional mental health care, therapy, or medical advice.** Mindful Learning Co. is not a licensed mental health provider. If you or a student may benefit from mental health support, we encourage you to consult a qualified licensed professional.
3. Eligibility and Use by Parents/Guardians
The Site and inquiry form are intended for adults. If you are inquiring on behalf of a minor student, you represent that you are the student's parent or legal guardian (or are otherwise authorized to act for them) and that the information you provide is accurate. You agree to provide accurate, current, and complete information when you contact us.
4. Acceptable Use
When using the Site, you agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms
- Attempt to gain unauthorized access to the Site, its servers, or related systems
- Interfere with or disrupt the Site's operation or security
- Submit false information or impersonate another person
- Copy, scrape, reproduce, or redistribute Site content except as permitted below
5. Intellectual Property
All content on the Site — including text, graphics, logos, illustrations, and the design and arrangement of the Site — as well as our lesson plans, worksheets, exercises, coaching frameworks, and other instructional materials, is the property of Mindful Learning Co. or its licensors and is protected by intellectual property laws. You may view and use Site content for your own personal, non-commercial, informational purposes only. You may not reproduce, distribute, modify, publicly display, or create derivative works from our content or materials without our prior written consent.
The names "Mindful Learning Co." and any associated logos are marks of Mindful Learning Co. and may not be used without permission.
6. Inquiries and Communications
Submitting the inquiry form does not create a client relationship or guarantee availability. We will follow up to discuss your needs and, if we move forward, the terms of any engagement will be set out in a Client Services Agreement. By providing your phone number, you consent to receiving service-related phone calls and text messages from us about your inquiry and any engagement, as described in our Privacy Policy; you may opt out of texts at any time by replying STOP. Your use of the inquiry form and any information you provide is also governed by our Privacy Policy.
7. No Guarantee of Results
We are committed to high-quality instruction and coaching, but we make no guarantee of specific academic outcomes, test scores, grade improvements, or other results. Educational outcomes depend on many factors, including a student's effort and engagement and other variables beyond our control.
8. Third-Party Services and Links
The Site is built and hosted on the Wix platform and may use third-party tools for functions such as forms, scheduling, payments, and analytics. The Site may also link to third-party websites. We do not control and are not responsible for the content, policies, or practices of third-party platforms or websites. Your use of those services is governed by their own terms and policies.
9. Disclaimer of Warranties
The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that information on the Site is complete or current. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Mindful Learning Co. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising out of your use of, or inability to use, the Site. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars ($100). Liability relating to paid tutoring or coaching services is governed by the limitation-of-liability terms in the applicable Client Services Agreement. Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law.
11. Indemnification
You agree to indemnify and hold harmless Mindful Learning Co. from any claims, damages, losses, and reasonable expenses arising out of your misuse of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.
12. Changes to the Site and Terms
We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also update these Terms from time to time; when we do, we will revise the "Last Updated" date and post the new version on this page. Your continued use of the Site after changes take effect means you accept the revised Terms.
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Any dispute relating to the Site will be subject to the venue and dispute-resolution terms set out in the Client Services Agreement where one applies; otherwise, the state and federal courts located in Los Angeles County, California will have jurisdiction, to the extent permitted by law. Nothing here prevents either party from bringing a qualifying claim in small claims court.
14. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in effect. These Terms, together with our Privacy Policy and any applicable Client Services Agreement, make up the entire agreement between you and Mindful Learning Co. regarding the Site.
